1. Acceptance of Terms

By accessing or using the website www.atriria.com and any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on the site and updating the "Last Updated" date. For non-material changes, your continued use of the Service constitutes acceptance. For material changes, we may provide additional notice (such as email or a banner on the site). If you do not agree with the revised Terms, you must stop using the Service.

2. Eligibility and Registration

You must be at least 18 years old to use the Service. By registering, you represent and warrant that you are at least 18 years of age and that the information you provide is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You may not use the Service if you are located in a jurisdiction where the Service is prohibited or if you are subject to sanctions.

3. User-Generated Content (Characters, Images, Voice, Text)

The Service allows users to create and upload fictional characters, including their names, descriptions, images (pre-generated), and voice samples (collectively, "User Content"). You retain ownership of your User Content.

By uploading any User Content, you represent and warrant that:

• You own all intellectual property rights to the User Content, or have obtained all necessary licenses and permissions to use it on the Service.
• The character is entirely fictional and is not based on any real person, celebrity, or individual without their explicit written consent.
• The character is over 18 years old in its fictional representation.
• The User Content does not contain any images, text, or voice that violates our Content Policy (see Section 4).

You grant Atriria a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, display, use, reproduce, modify, adapt, and publicly perform your User Content in connection with the operation, promotion, and improvement of the Service. For example, we may feature your character in promotional materials or on the site. This license survives termination of your account only as long as we need it to continue using your content for archival, promotional, or operational purposes.

We do not pre-screen all User Content, but we have the right (but not the obligation) to review, modify, reject, or remove any User Content at our sole discretion, with or without notice. In particular, images of characters are subject to moderation before they become publicly visible. During the moderation period, only you (the creator) can interact with the character. If your character is rejected, you may lose access to it, and we will have no liability for such loss.

4. Acceptable Use and Content Policy

You agree not to use the Service to create, upload, or transmit any content that:

• Is pornographic, obscene, or sexually explicit (including images, but romantic or mildly erotic text that does not cross into pornography is permitted);
• Depicts or glorifies excessive violence, self-harm, or cruelty to animals;
• Involves any real person (living or deceased) without their explicit consent;
• Is hateful, harassing, discriminatory, or defamatory;
• Contains political propaganda, extremist ideologies, or content aimed at disrupting public order;
• Infringes any third party's intellectual property rights;
• Violates any applicable law or regulation.

You also agree not to:

• Attempt to circumvent any security or content moderation measures;
• Use automated tools (bots, scrapers) to access the Service;
• Impersonate other users or provide false information.

We reserve the right to suspend or terminate your account and remove your content at any time for violating this policy, without prior notice.

5. Paid Subscriptions

We offer premium subscription plans. Details of the current plans, pricing, and features are described on the Service.

Billing and Auto-Renewal. When you purchase a subscription, you agree to provide a valid payment method. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We will charge the subscription fee to your payment method on the renewal date.

Cancellation. You can cancel your subscription at any time via your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. You will retain access to the premium features until that date.

Refunds. Generally, fees are non-refundable except where required by applicable law. If you believe you are entitled to a refund under your local law, please contact support@atriria.com.

Price Changes. We may change our prices from time to time. We will notify you at least 30 days before a price increase takes effect. If you do not agree to the new price, you must cancel your subscription before the increase applies.

6. Copyright and Intellectual Property

If you believe that any content on the Service infringes your copyright, you may send a written notification to support@atriria.com with the following information:

• Identification of the copyrighted work claimed to be infringed;
• Identification of the infringing material and its location on the Service;
• Your contact information;
• A statement that you have a good faith belief that the use is not authorized;
• A statement, under penalty of perjury, that the information is accurate and that you are the rights holder or authorized to act on their behalf.

We will promptly investigate and take appropriate action, which may include removing the content and terminating repeat infringers' accounts.

All trademarks, service marks, and trade names of Atriria are our property. The Service and its original content (excluding User Content) are owned by us and are protected by copyright and other intellectual property laws.

7. Privacy

Your privacy is important to us. Our Privacy Policy (available at www.atriria.com/privacy) explains how we collect, use, and protect your personal data. By using the Service, you consent to the practices described in the Privacy Policy.

8. Third-Party Links and Services

The Service may contain links to third-party websites or services. We are not responsible for the content or practices of those third parties. Your interactions with such third parties are solely between you and them.

9. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE," without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure. You use the Service at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, Atriria shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, data, or goodwill, arising from your use of the Service or inability to use it, even if we were advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above limitations may not apply to you.

11. Indemnity

You agree to defend, indemnify, and hold harmless Atriria and its affiliates, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your use of the Service.

12. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including ownership, disclaimers, indemnity, and limitations of liability) will survive.

13. Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of the Kyrgyz Republic, without regard to its conflict of laws principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be resolved in the competent courts at the location of the Company (Kyrgyzstan).

For users residing outside of Kyrgyzstan, you also agree to submit to the personal jurisdiction of the Kyrgyz courts for any such disputes, but this does not limit your rights under mandatory consumer protection laws of your country of residence.

Class Action Waiver. To the extent permissible by law, you and Atriria agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Arbitration Option (for non-Kyrgyz users). If you are a user from a jurisdiction that recognizes international arbitration, you and Atriria may mutually agree to submit the dispute to binding arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce (SCC) in accordance with its Rules. Any arbitration will be held in Stockholm, Sweden, and conducted in English. This arbitration clause is optional and does not prevent either party from seeking injunctive relief in court.

14. General Provisions

Entire Agreement. These Terms (together with the Privacy Policy) constitute the entire agreement between you and Atriria regarding the Service.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in effect.

No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right.

Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights freely.

Notices. We may send notices to you via the email address you provide or through the Service. You agree to provide a current email and check it periodically. For notices to us, please use support@atriria.com.
